Terms of Service

1. Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you and Throne Room LLC, a limited liability company organized under the laws of the State of Idaho, with its principal place of business in Twin Falls, Idaho ("Company," "we," "us," or "our"). By accessing or using Throne Room at throneroom.app (the "Service"), you agree to be bound by these Terms. If you do not agree, you must discontinue use immediately.

2. Eligibility

You must be at least 13 years of age to use the Service. If you are between 13 and 18, you represent that your parent or legal guardian has reviewed and agreed to these Terms on your behalf. By creating an account, you represent and warrant that all information you provide is truthful, accurate, and complete.

3. Account Responsibilities

You are solely responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You agree to notify us immediately of any unauthorized access. We reserve the right to suspend or terminate accounts that violate these Terms, are fraudulent, or pose a risk to the integrity of the Service.

4. User-Generated Content & Section 230 Notice

Throne Room allows users to post reviews, ratings, photographs, and comments ("User Content"). You retain all ownership rights to your User Content. By submitting User Content, you grant Throne Room LLC a non-exclusive, worldwide, royalty-free, sublicensable, transferable license to use, display, reproduce, distribute, and create derivative works of your User Content in connection with operating and promoting the Service.

Section 230 Notice: Throne Room LLC operates as a provider of an interactive computer service under Section 230 of the Communications Decency Act (47 U.S.C. § 230). User Content posted on Throne Room represents the views and opinions of the individual users who post such content, and does not represent the views of Throne Room LLC. We do not create, author, or adopt User Content. Pursuant to 47 U.S.C. § 230(c)(1), Throne Room LLC shall not be treated as the publisher or speaker of any User Content provided by third-party users. Pursuant to 47 U.S.C. § 230(c)(2), Throne Room LLC may, in good faith, voluntarily moderate, restrict, or remove User Content that it considers objectionable, regardless of whether such content is constitutionally protected, without incurring liability for such actions.

5. Content Standards

You agree that all User Content you submit will not:

• Contain false, misleading, or fraudulent statements
• Be defamatory, obscene, abusive, threatening, or harassing
• Infringe any third party's intellectual property, privacy, or publicity rights
• Contain personally identifiable information of others without consent
• Include malicious code, spam, or commercial solicitations
• Violate any applicable local, state, national, or international law
• Contain images of minors, nudity, or sexually explicit material

6. Business Owner Provisions

Business owners may claim their listing through our phone verification process and post official responses to reviews. Business owners agree not to: offer incentives in exchange for positive reviews, threaten or intimidate reviewers, submit false reviews for their own or competitors' businesses, or abuse the claim/verification system. Violation of these provisions will result in removal of owner privileges and potential account termination.

7. Intellectual Property

The Service, including its design, logos, trademarks, code, and all non-User Content materials, is the exclusive property of Throne Room LLC and is protected by U.S. and international copyright, trademark, and intellectual property laws. You may not copy, modify, distribute, sell, or lease any part of the Service without our prior written consent.

8. Third-Party Services

The Service integrates with third-party providers including Google Places API, Supabase, Cloudflare, and Twilio. These integrations are provided "as is," and we are not responsible for the availability, accuracy, or practices of these services. Your use of data obtained from Google Places is subject to the Google Maps Platform Terms of Service.

9. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. THRONE ROOM LLC DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE, OR THAT THE ACCURACY OF ANY USER CONTENT OR BUSINESS INFORMATION IS GUARANTEED.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THRONE ROOM LLC, ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES RESULTING FROM: (A) YOUR ACCESS TO OR USE OF (OR INABILITY TO ACCESS OR USE) THE SERVICE; (B) ANY CONDUCT OR CONTENT OF ANY THIRD PARTY ON THE SERVICE, INCLUDING USER CONTENT; OR (C) UNAUTHORIZED ACCESS, USE, OR ALTERATION OF YOUR CONTENT OR INFORMATION. OUR AGGREGATE LIABILITY SHALL NOT EXCEED ONE HUNDRED DOLLARS ($100.00) OR THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, WHICHEVER IS GREATER.

11. Indemnification

You agree to indemnify, defend, and hold harmless Throne Room LLC and its officers, directors, employees, and agents from and against any and all claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or in any way connected with: (a) your User Content; (b) your use of the Service; (c) your violation of these Terms; or (d) your violation of any third-party rights.

12. Dispute Resolution & Governing Law

These Terms shall be governed by the laws of the State of Idaho without regard to its conflict of law provisions. Any disputes arising under these Terms shall be resolved exclusively in the state or federal courts located in Twin Falls County, Idaho. You consent to personal jurisdiction in such courts and waive any objection to venue.

13. Termination

We may suspend or terminate your account and access to the Service at any time, with or without cause, and with or without notice. Upon termination, your right to use the Service ceases immediately. You may delete your account at any time. Sections 4, 9, 10, 11, and 12 survive termination.

14. Modifications to Terms

We reserve the right to modify these Terms at any time. Material changes will be communicated via email or prominent in-app notice at least 30 days before they take effect. Your continued use of the Service after the effective date constitutes acceptance of the revised Terms.

15. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.
